Terms of Service
Terms for use of the Humaneti platform and website during the current pilot phase — covering customer responsibilities, subscription, fees & taxes, suspension, cancellation & refunds, data ownership, and governing law.
1. Acceptance of terms
By accessing the Humaneti website or platform, you agree to these terms. Where a separate signed pilot or subscription agreement exists between your organization and Humaneti, that agreement governs and controls in the event of any conflict.
2. Customer accounts & tenant responsibilities
- The organization’s administrator is responsible for the tenant account, its configuration, and the actions of users they invite.
- The administrator manages employee user permissions and must promptly revoke access when a user leaves or changes role.
- The organization confirms it has the legal authority and any required consents to input employee and personal data into Humaneti, and to have Humaneti process that data on its behalf.
- The organization is responsible for the accuracy of the data it enters and for keeping account credentials secure.
3. License grant & acceptable use
Subject to these terms, Humaneti grants your organization a non-exclusive, non-transferable, revocable license to access and use the platform for its internal business operations during the subscription or pilot term.
You must not:
- Copy, reverse-engineer, decompile, or attempt to derive the source code of the platform.
- Resell, sublicense, rent, or provide the platform as a service to third parties.
- Benchmark or publish performance results without prior written consent.
- Attempt unauthorized access, disrupt the service, or submit unlawful, abusive, or infringing content.
4. Pilot / beta provisions
- You acknowledge the platform is currently offered on a pilot / beta basis and may contain features still under active development or testing.
- During the pilot period, the service is provided with limited warranties, and Humaneti’s liability is limited to the maximum extent permitted by law.
- Humaneti may add, change, or remove features and workflows and adjust pricing based on testing and feedback, with reasonable notice for material changes.
5. Subscription, trial & term
- Plans (Starter, Shop, SME, Enterprise) are subscribed per the tier selected. Eligible plans include a 14-day free trial; unless cancelled before it ends, the subscription continues on a paid basis.
- Subscriptions are billed monthly or annually and renew automatically for successive terms unless cancelled before the renewal date.
- Per-seat plans are billed by the number of active employee users. You may add users at any time; increases are billed from the next cycle, and reductions take effect at the next renewal.
- You may upgrade or downgrade tiers. Upgrades apply immediately; downgrades apply at the next renewal and may remove access to features not included in the lower tier.
6. Fees, payment & taxes
- Fees are stated and payable in US Dollars (USD), and comprise the platform fee, the flat subscription fee and/or the per-employee fee for the selected plan. The Shop plan is charged as a flat fee with no per-employee component. Enterprise fees are quoted individually.
- Invoices are issued for each billing cycle and are payable in advance. Payment methods (including bank transfer) are confirmed with your organization.
- Fees are exclusive of taxes. Any value-added tax (VAT), withholding tax, or other taxes and duties imposed under the laws of the Kingdom of Cambodia (administered by the General Department of Taxation) are added to, or handled in accordance with, the invoice as required by law. Each party bears its own income taxes.
- Overdue invoices may accrue reasonable late charges and, after notice, may lead to restriction or suspension of the account as described below.
7. Suspension for non-payment or breach
If an invoice is past due, or these terms are materially breached, the account may be placed in a restricted, read-only mode. In this mode, administrators keep read-only access and can renew, settle payment, or appeal, but data entry and other write actions are blocked. Continued non-payment or unresolved breach may lead to suspension and then termination.
8. Cancellation, termination & refunds
- You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and the subscription will not renew.
- Fees already paid are non-refundable except where required by applicable law, or as expressly agreed in a signed agreement. Monthly plans are not pro-rated on cancellation.
- During the pilot phase, either party may end the relationship with reasonable written notice.
- On termination, access ends and you may export your data. A 30-day deletion grace period applies, after which tenant data is securely deleted (see the Privacy Policy for details).
9. Data ownership & intellectual property
- Your organization owns all tenant data it uploads and the report content generated from that data, and may export it at any time during the term.
- Humaneti owns and retains all rights to the platform software, source code, UI/UX design, analytics models, documentation, trademarks, and branding.
- Humaneti may use aggregated and de-identified data (that does not identify your organization or any individual) to operate, secure, and improve the service.
10. Service availability & support
We aim to keep the service available and reliable, but during the pilot phase it is provided without a formal uptime guarantee. We may perform scheduled maintenance and will give reasonable advance notice of planned maintenance windows where practical. Support during the pilot is provided by email and the channels shared with your organization.
11. Confidentiality
Each party may access non-public information of the other (including tenant data, pricing, and platform materials). Each party will use such information only to perform under these terms and will protect it with reasonable care, except where disclosure is required by law.
12. Warranties & disclaimer
The platform and website are provided “as is” and “as available,” without warranties of any kind, to the extent permitted by law. The platform supports your record-keeping but does not constitute legal, tax, accounting, or payroll advice; you remain responsible for your own compliance.
13. Limitation of liability
To the maximum extent permitted by law, Humaneti is not liable for indirect, incidental, or consequential damages, or for loss of data or profits, arising from use of the platform or website — and this limitation applies with particular force during the pilot / beta period.
14. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as internet or power outages, telecommunications failures, natural disasters, or government actions.
15. Governing law & dispute resolution
These terms are governed by the laws of the Kingdom of Cambodia. The parties will first attempt to resolve any dispute through friendly negotiation in good faith. If a dispute cannot be resolved amicably, it will be submitted to the competent courts of Phnom Penh, Cambodia.
16. General provisions
You may not assign these terms without our written consent; we may assign them to an affiliate or successor. If any provision is held unenforceable, the remainder stays in effect. These terms, together with any signed agreement and the Privacy Policy, are the entire agreement between the parties. Notices may be sent by email to the addresses on file.
17. Changes to terms
We may update these terms from time to time. Updated terms become effective when published on this page, and continued use of the service constitutes acceptance.
